These Terms and Conditions (“Terms”) govern the contractual relationship between Suisse Signature MG – Mariana Gilliéron, Sole proprietorship – c/o Mariana Gilliéron, Faubourg du Lac 75A, CH-2502 Biel / Bienne, Switzerland, IDE/UID CHE-285.292.875 (“Suisse Signature MG – Mariana Gilliéron”), and its clients (the “Client”).

They apply to services provided by Suisse Signature MG – Mariana Gilliéron unless otherwise expressly agreed in writing in an offer, engagement, or specific agreement.

By engaging Suisse Signature MG – Mariana Gilliéron, the Client acknowledges that they have read and accepted these Terms and Conditions.

1. Services

Suisse Signature MG – Mariana Gilliéron supports self-employed professionals, entrepreneurs, SMEs, and organisations in areas including:

• accounting and financial monitoring;
• administrative management and back-office support;
• administrative payroll management;
• preparation and coordination of tax and VAT matters;
• business organisation and development consulting;
• B2B development;
• preparation and coordination of business valuation, transfer, or acquisition projects;
• process optimisation and the use of digital and artificial intelligence tools;
• administrative support and coordination of matters requiring the involvement of external professionals.

The exact nature and scope of the services, deliverables, deadlines, and fees may be specified in an offer, engagement confirmation, or other agreement entered into with the Client.

2. Nature of the Services

Suisse Signature MG – Mariana Gilliéron provides administrative, accounting, organisational, financial, commercial, and coordination services within the limits of its expertise and the agreed engagement.

Where a matter requires the involvement of a professional holding a particular qualification, authorisation, or regulated expertise, Suisse Signature MG – Mariana Gilliéron may recommend or coordinate the involvement of a fiduciary, lawyer, notary, tax specialist, or other appropriately qualified professional.

Suisse Signature MG – Mariana Gilliéron does not replace such professionals where their involvement is legally or professionally required.

Unless expressly agreed otherwise, the contractual relationship with an external specialist is separate from the contractual relationship entered into with Suisse Signature MG – Mariana Gilliéron.

3. Entering into an Engagement

An engagement may be entered into through, in particular:

• written acceptance of an offer;
• signature of a contract or engagement letter;
• confirmation by email;
• payment for a consultation or service;
• or any other explicit agreement between the parties.

Information presented on the website is for informational purposes and does not, by itself, constitute a binding contractual offer.

Any estimate provided before a complete assessment of a matter is indicative. The final price and scope of services are determined according to the Client’s circumstances and requirements.

4. Initial Consultation

Where offered, the initial consultation is intended to assess the Client’s situation, identify key priorities, and determine possible next steps.

Under the services currently offered by Suisse Signature MG – Mariana Gilliéron, this consultation may include a preliminary assessment of the Client’s circumstances together with an individual consultation and may require advance payment.

Payment confirms the booking in accordance with the conditions communicated at the time the appointment is scheduled.

The conditions applicable to cancellations, rescheduling, or failure to attend an appointment are those communicated at the time of booking.

5. Client Obligations

The Client undertakes to provide complete, accurate, and up-to-date information and documentation within the required timeframes.

In particular, the Client is responsible for:

• communicating any information that may affect the engagement;
• verifying the accuracy of the information provided;
• complying with deadlines communicated to them;
• promptly informing Suisse Signature MG – Mariana Gilliéron of any relevant changes;
• cooperating where their involvement or approval is required.

Suisse Signature MG – Mariana Gilliéron may rely on information and documents supplied by the Client unless there is an obvious reason to question their accuracy.

Any delay, omission, or incorrect information attributable to the Client may result in delays in the provision of services or require additional work.

6. Fees, Quotations and Invoicing

Fees are determined according to the offer, engagement, package, or other arrangements agreed with the Client.

Where an estimate is provided on the website or before a complete assessment of the Client’s circumstances, it is provided for guidance only. The final amount is determined following an individual assessment of the Client’s situation.

Unless otherwise stated, additional services falling outside the original scope may be subject to additional fees after the Client has been informed.

Invoices are payable within the payment period specified on the relevant invoice or offer.

Any third-party costs — including lawyers, notaries, fiduciaries, tax specialists, software providers, public authorities, translators, or other external service providers — are not included in Suisse Signature MG – Mariana Gilliéron’s fees unless expressly stated otherwise.

7. Late Payment

In the event of late payment, Suisse Signature MG – Mariana Gilliéron may send the Client a payment reminder and, to the extent permitted by applicable law, claim any applicable interest and charges.

Suisse Signature MG – Mariana Gilliéron also reserves the right to suspend the provision of services until outstanding amounts have been paid, after informing the Client, where such suspension is reasonably possible.

Such suspension does not release the Client from their obligation to pay for services already provided.

8. Deadlines

Suisse Signature MG – Mariana Gilliéron endeavours to comply with deadlines agreed with the Client.

However, deadlines depend in particular on the timely receipt of the necessary documents and information, the Client’s cooperation, and, where applicable, the involvement of public authorities or external professionals.

Unless expressly agreed otherwise, communicated deadlines constitute reasonable estimates.

Suisse Signature MG – Mariana Gilliéron cannot be held liable for delays directly attributable to the Client, a third party, a public authority, or an event reasonably beyond its control.

9. External Service Providers and Specialists

In connection with certain engagements, Suisse Signature MG – Mariana Gilliéron may work with or coordinate fiduciaries, lawyers, notaries, tax specialists, insurers, banks, public authorities, or other professionals.

In such circumstances, Suisse Signature MG – Mariana Gilliéron facilitates the preparation of the matter, the exchange of information, and coordination between the parties in accordance with the agreed engagement.

Unless otherwise agreed, each external professional remains responsible for their own services, recommendations, and professional obligations.

Fees and expenses charged by external service providers may be invoiced directly to the Client or separately in accordance with the arrangements agreed.

10. Confidentiality

Suisse Signature MG – Mariana Gilliéron treats information received in connection with its engagements with discretion and confidentiality.

Confidential information is disclosed to third parties only where this is necessary for the performance of the engagement, where the Client has authorised such disclosure, where disclosure is required by law, or where another lawful basis permits such disclosure.

Where an engagement requires coordination with an external professional, the Client authorises Suisse Signature MG – Mariana Gilliéron to provide that professional with information reasonably necessary for the performance of the engagement, subject to applicable data protection requirements.

11. Data Protection

Suisse Signature MG – Mariana Gilliéron processes personal data in accordance with applicable Swiss data protection law.

Personal data may be processed in particular for the purposes of:

• managing client relationships;
• performing engagements;
• invoicing and administration;
• communicating with the Client;
• coordinating with partners required for the engagement;
• complying with legal obligations;
• operating and improving services.

12. Digital Tools and Artificial Intelligence

Suisse Signature MG – Mariana Gilliéron may use software, digital tools, and solutions incorporating artificial intelligence functionality where these can improve the organisation, efficiency, analysis, or monitoring of services.

Such tools are selected with consideration for the nature of the engagement, the Client’s requirements, and reasonable confidentiality and data protection requirements.

Automated or artificial intelligence-based tools are used as supporting tools and do not replace professional judgement where such judgement is required.

Important decisions remain based on human assessment and the information available.

13. Liability

Suisse Signature MG – Mariana Gilliéron performs its services with the reasonable care expected within the scope of the agreed engagement.

The Client remains responsible for their entrepreneurial, commercial, financial, and organisational decisions, as well as for validating decisions made on the basis of information provided to them.

Suisse Signature MG – Mariana Gilliéron does not guarantee any particular economic, commercial, tax, financial, or administrative outcome unless expressly agreed in writing.

To the extent permitted under Swiss law, Suisse Signature MG – Mariana Gilliéron shall not be liable for losses or damages resulting in particular from:

• incomplete, incorrect, or late information provided by the Client;
• decisions made by the Client contrary to recommendations received;
• acts or omissions of independent external professionals or service providers;
• decisions made by public authorities, banks, insurers, or other institutions;
• failures or disruptions of external systems or services reasonably beyond its control.

Any additional limitation of liability or financial liability cap should be reviewed by a Swiss lawyer before being incorporated into these Terms and Conditions.

14. No Guarantee of Results

Unless otherwise agreed in writing, the services provided by Suisse Signature MG – Mariana Gilliéron constitute an obligation to use reasonable efforts and do not constitute a guarantee of results.

In particular, no guarantee can be given regarding the obtaining of:

• financing;
• a business partner;
• a client or contract;
• an administrative authorisation;
• a particular tax decision or outcome;
• a business transaction or transfer;
• or any other result dependent upon decisions by third parties or external circumstances.

15. Duration and Termination of the Engagement

The duration of an engagement is specified in the corresponding offer, contract, or confirmation.

The conditions governing termination of recurring services or packages are determined by the engagement entered into with the Client and by any mandatory provisions of Swiss law.

In the event of termination, services already performed, work already undertaken, and costs already incurred remain payable to the extent applicable.

Suisse Signature MG – Mariana Gilliéron may terminate or suspend an engagement for legitimate reasons, including persistent failure to cooperate, the provision of manifestly incorrect information, non-payment, or circumstances that make continued performance of the engagement reasonably impossible.

16. Intellectual Property

Unless otherwise agreed, methods, templates, structures, generic documents, tools, and content developed before or independently of an engagement remain the property of Suisse Signature MG – Mariana Gilliéron or their respective rights holders.

Following full payment of the corresponding fees, the Client may use documents specifically prepared for them within the scope and for the purposes of their business activities.

Materials belonging to third parties remain subject to the rights and licences of their respective owners.

17. Electronic Communications

The Client agrees that communications relating to the engagement may take place by email, video conference, or other agreed electronic means.

Although reasonable measures are taken to protect communications, no electronic communication method can be considered entirely free from risk.

The Client is encouraged to inform Suisse Signature MG – Mariana Gilliéron where a matter requires particularly secure transmission arrangements.

18. Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from an event reasonably beyond its control, to the extent that such event actually prevents or delays performance of the engagement.

The affected party shall inform the other party within a reasonable period and take reasonable measures to minimise the consequences of the event.

19. Changes to the Terms and Conditions

Suisse Signature MG may amend these Terms and Conditions to reflect, in particular, changes to its services, organisation, or the applicable legal framework.

The version applicable to a particular engagement shall be determined in accordance with the agreement entered into with the Client and applicable law.

The most recent version of these Terms and Conditions will be published on the Suisse Signature MG – Mariana Gilliéron website together with the date of the latest update.

20. Governing Law and Jurisdiction

These Terms and Conditions and the contractual relationship with Suisse Signature MG – Mariana Gilliéron are governed by Swiss law, subject to any mandatory provisions of applicable law.

Where reasonably possible, the parties shall seek to resolve any dispute amicably before commencing legal proceedings.

21. Final Provisions

If any provision of these Terms and Conditions is found to be null, invalid, or unenforceable, the remaining provisions shall remain effective to the fullest extent permitted by law.

In the event of any conflict between these Terms and Conditions and an offer, engagement letter, or individual contract expressly accepted by the parties, the provisions of the individual agreement shall prevail in relation to the relevant engagement.
